Terms of service

fortinet.xpertbuy.com

Overview and Acceptance

By browsing, creating an account, or placing an order on fortinet.xpertbuy.com (the "Site"), you agree to these Terms and Conditions (the "Terms"). The Site is operated by Xpert Solutions ("Xpert," "we," "us"), an authorized reseller of Fortinet network security products, subscriptions, and services. If you do not agree to these Terms, please do not use the Site or place an order.

These Terms, together with our Privacy Policy, Warranty and Returns page, and Shipping Information page, make up the entire agreement between you and Xpert for purchases made through the Site. If you are buying on behalf of a company or organization, you confirm that you are authorized to bind it, and "you" includes that organization. Where a signed master agreement or written quote from Xpert says something different from these Terms, the signed document controls for that purchase.

Eligibility, Accounts and Membership

The Site is intended for business and professional buyers. You must be at least 18 years old and able to enter a binding contract to place an order, and we may decline or cancel an order if we cannot reasonably verify that the buyer is a legitimate business or authorized purchaser.

Creating a free XpertBuy Member account lets you view order history, save addresses, and check out faster. You are responsible for the accuracy of your account information, for keeping access to your sign-in email or linked sign-in provider secure, and for all activity under your account. Tell us promptly if you believe someone else has used it. We may suspend or close an account that is used fraudulently, abusively, or in violation of these Terms.

Business customers who need multiple buyers, multiple ship-to locations, or invoiced payment terms may be set up as a company account. Company accounts and any payment terms are offered at our discretion and subject to approval.

Products, Pricing and Quotes

All prices on the Site are in U.S. dollars and may change at any time without notice. The price that applies to your order is the price shown at checkout when the order is placed, or the price in a written quote from Xpert for as long as that quote remains valid.

We work to keep product descriptions, part numbers, specifications, images, and prices accurate, but errors can occur. Product images are illustrative. Specifications and features are set by the manufacturer and can change. If a product or service is listed at a clearly incorrect price, for example because of a typographical or system error, we may correct the price, cancel the order, and refund any amount you have paid, even after you receive an order confirmation. Availability is not guaranteed until we confirm the order.

Selling a product through the Site does not create any obligation on our part to continue selling it, and we may limit quantities, discontinue products, or restrict sales to particular regions or customer types.

Orders and Acceptance

Your order is an offer to buy, and a contract is formed only when we accept it, which we do by shipping the product or by delivering the license, subscription, or service. An order confirmation email confirms that we received your order; it is not acceptance. We may decline or cancel all or part of an order for reasons including product unavailability, pricing or description errors, suspected fraud, failed payment, failed export or compliance screening, or an inability to verify the buyer.

If we cancel an order after payment, we will refund the amount charged for the cancelled portion. Please review your cart, quantities, part numbers, and shipping address carefully before you submit, because some changes cannot be made once an order has been processed.

Payment, Taxes and Purchase Orders

Payment is due when you place your order unless we have approved invoiced terms for your company in writing. We accept the payment methods shown at checkout, currently including major credit and debit cards through Shopify Payments and PayPal. By submitting payment you confirm that you are authorized to use the payment method, and you authorize us and our payment processors to charge the full amount of the order, including taxes, shipping, and any applicable fees. Your card details are handled by our payment processors and are not stored on the Site.

To help us match payments to your internal records, you may enter a PO or Contract Number in the cart. We record it with the order and show it on documents, but entering a number does not by itself create credit terms or change the price. Approved business customers may be offered net payment terms; late invoices may be subject to a late fee or suspension of future orders as stated in the approved terms.

Prices do not include sales, use, VAT, or similar taxes, which are calculated at checkout based on the ship-to address and applicable law. If your organization is tax-exempt, send us a valid exemption certificate before ordering, and note that we cannot refund tax collected before we have the certificate on file except where the law requires it. You are responsible for any duties, import fees, or taxes not collected at checkout.

Shipping, Delivery and Risk of Loss

Hardware is shipped to the address you provide, using the carriers and methods described on our Shipping Information page. Delivery dates are estimates, not guarantees, and we are not liable for delays caused by carriers, manufacturers, customs, weather, or other events outside our reasonable control. Software licenses, subscriptions, and support entitlements are delivered electronically, typically by email or through the manufacturer's registration portal.

Title and risk of loss for hardware pass to you when the carrier takes possession of the shipment from us, unless we agree otherwise in writing. Please inspect each delivery on arrival, note any visible damage on the carrier's receipt, and tell us within five (5) business days of delivery if the package is damaged, incomplete, or incorrect so we can help you file a claim. We cannot ship to PO boxes for hardware, and you are responsible for providing a correct, deliverable address.

Returns, Non-Returnable Items and Final Sale

New, unopened hardware in its original packaging may be returned within 25 days of shipping, if approved by the manufacturer or manufacturer's distributor. Returns require prior authorization from us, and we will give you an authorization number and instructions. Items that arrive incomplete, opened, used, registered, configured, or damaged after delivery may be refused or may be subject to a restocking fee. Return shipping is your responsibility unless we sent the wrong item or it arrived defective.

Return Exception. Products that are not physical hardware cannot be returned once purchased. This includes software licenses, subscriptions, support and maintenance contracts, and professional or other services. These items are marked with the "Non-Returnable" tag on the Site and are collected in our Non-Returnable collection; a product that is not tagged may still be non-returnable if its type is subscription, service, or support. Hardware that has been registered or activated with the manufacturer, or that was special-ordered or built to your configuration, may also be non-returnable.

Final Sale. Items marked "Final Sale" are sold as-is and cannot be returned or exchanged, including any refurbished or open-box products we may offer. The listing will describe the condition of those items, and any manufacturer or reseller warranty that applies will be stated on the product page.

If an item is defective on arrival or we shipped the wrong product, contact us within the period on the Warranty and Returns page and we will repair, replace, or refund it as appropriate, even if it would otherwise be non-returnable. Approved refunds are issued to the original payment method.

Warranty and Manufacturer Terms

Products sold on the Site are manufactured and warranted by Fortinet or other third-party manufacturers, not by Xpert. Xpert resells these products and does not make its own warranty on them, and any warranty is the manufacturer's standard warranty, which is described in the manufacturer's documentation and may require product registration. Hardware replacement, firmware, support entitlements, and technical assistance are provided under the manufacturer's programs, such as FortiCare, and you should contact the manufacturer for service and technical support, using the contract or serial information we provide to you. We will help you start a warranty claim where we reasonably can, but we are not responsible for the manufacturer's decisions, response times, or coverage.

You are responsible for choosing products that fit your network, capacity, and licensing needs. We recommend confirming compatibility before ordering, and our team can help if you contact us.

Software, Subscriptions and Licenses

Software, firmware, and subscription services are licensed, not sold, and are governed by the manufacturer's end user license agreement and service terms, which you accept when you register or activate the product. Xpert is not a party to those agreements and does not grant any license of its own. You may not copy, resell, share, or transfer a license or subscription except as the manufacturer's terms permit.

Subscription and support terms begin on the date stated by the manufacturer, which can be the date of purchase, the date of registration, or a date tied to an existing contract, and they may renew only if the product page or the manufacturer's terms say so. Please read the term length, start date, and renewal details on the product page before you buy. License keys and entitlements are delivered electronically and, once delivered, are final and non-refundable as described in the returns section above.

Export and Trade Compliance

The products sold on the Site, including encryption-enabled security technology, are subject to U.S. export control and sanctions laws and may be subject to the laws of other countries. You agree to comply with those laws, not to export, re-export, or transfer any product to a prohibited destination, end user, or end use, and to give us accurate end-user and destination information when we ask. We may delay, hold, or cancel any order that we believe could violate these rules, and we are not liable for doing so.

Use of the Site and Intellectual Property

You may use the Site only for lawful purposes and for your own legitimate business purchasing. You agree not to interfere with or attempt to disrupt the Site, probe or bypass its security, use automated tools to scrape or bulk-copy content, submit false information, or use the Site to violate anyone's rights.

The Site's design, text, graphics, logos, and software belong to Xpert or its licensors and are protected by copyright, trademark, and other laws. Fortinet, FortiGate, FortiCare, and other Fortinet names and marks are the property of Fortinet, Inc.; XpertBuy and Xpert Solutions names and marks belong to Xpert. Use of these names on the Site does not give you any right to use them. You may view and print Site content for your own internal business use, but you may not copy, modify, distribute, or republish it without our written permission. The Site may link to third-party websites that we do not control and are not responsible for.

Disclaimers, Limitation of Liability and Indemnification

The Site and the products and services offered on it are provided "as is" and "as available." To the fullest extent the law allows, Xpert disclaims all warranties of any kind, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Network security products reduce risk but cannot guarantee that your systems will be free from attack, outage, or data loss, and we make no promise that any product will meet your particular requirements or operate without interruption or error.

To the fullest extent the law allows, Xpert and its owners, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or business, arising from the Site or any product or service, even if we were told such damages were possible. Our total liability for any claim related to an order will not exceed the amount you paid us for the product or service that gave rise to the claim. Some jurisdictions do not allow certain limits, so parts of this section may not apply to you.

You agree to defend and indemnify Xpert against claims, losses, and expenses, including reasonable attorneys' fees, arising from your breach of these Terms, your violation of law (including export laws), or your misuse of a product or the Site.

Privacy, Governing Law, Changes and Contact

Privacy. Our Privacy Policy, at fortinet.xpertbuy.com/policies/privacy-policy, explains what personal information we collect and how we use it. By creating an account or placing an order you agree to its terms. If you give us your email address, we may send order, account, and service messages, and we will send marketing messages only where you have agreed or the law allows, with an unsubscribe option in every marketing email.

Governing law. These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws rules. Any dispute that cannot be resolved informally will be brought in the state or federal courts located in Orange County, California, and you consent to their jurisdiction.

Changes. We may update these Terms from time to time. The version posted on the Site when you place an order applies to that order, and continued use of the Site after a change means you accept the updated Terms. If any part of these Terms is found unenforceable, the rest remains in effect, and our failure to enforce a right is not a waiver of it.

Contact. Questions about these Terms or an order can be sent to Xpert Solutions at Legal@xpert.com, 949-218-2100, 65 Enterprise, Aliso Viejo, CA 92656.
